Terms & Conditions

By accessing, browsing, or using the KASSR platform ("Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"), together with our Privacy Policy, which is incorporated herein by reference. If you do not agree to any part of these Terms, you must immediately cease all access to and use of the Platform. KASSR reserves the right to modify, amend, or replace these Terms at any time. Material changes will be communicated to registered users via email or prominent in-platform notification at least 15 days before taking effect. Continued use of the Platform after modifications constitutes binding acceptance of the updated Terms. These Terms are issued in compliance with the Kingdom of Saudi Arabia's E-Commerce Law (Royal Decree No. M/126, dated 7/11/1440H) and its Implementing Regulations.

For the purposes of these Terms, the following definitions apply: • "KASSR" or "Platform" refers to the KASSR marketplace application, website, and all related digital services, operated by Quantum Axis. • "User" or "Buyer" refers to any natural person who accesses the Platform to browse, negotiate, or purchase products. • "Merchant" refers to any business entity or individual registered on KASSR to list and sell products. • "Captain" refers to any delivery personnel registered on KASSR's logistics network to fulfill last-mile deliveries. • "Negotiation" refers to the price negotiation process between a Buyer and a Merchant conducted through the Platform's proprietary negotiation system. • "Order" refers to a confirmed purchase transaction between a Buyer and a Merchant, including the agreed-upon price, product details, and delivery terms. • "SAR" refers to the Saudi Arabian Riyal, the official currency of the Kingdom of Saudi Arabia. • "VAT" refers to Value Added Tax at the rate of 15%, as mandated by the Zakat, Tax and Customs Authority (ZATCA).

To access certain features of the Platform, you must create a KASSR account. By registering, you represent and warrant that: • You are at least 18 years of age and possess the legal capacity to enter into binding agreements under the laws of the Kingdom of Saudi Arabia. • All registration information you provide is accurate, complete, current, and truthful. • You will promptly update your account information to maintain its accuracy. • You will maintain the security and confidentiality of your login credentials and will not share your account with any third party. • You will immediately notify KASSR at support@kassr.com of any unauthorized access to or use of your account. • You accept full responsibility for all activities conducted under your account, whether authorized by you or not. KASSR reserves the right to refuse registration, suspend, or permanently terminate any account that violates these Terms, provides false information, engages in fraudulent or illegal activity, or poses a risk to the integrity of the Platform.

KASSR operates exclusively as an intermediary marketplace platform that facilitates commercial transactions between Buyers and Merchants. KASSR does not own, manufacture, warehouse, or sell any products listed on the Platform. • Product listings, including descriptions, images, pricing, and availability, are created and managed solely by Merchants. KASSR does not verify, endorse, or guarantee the accuracy, quality, safety, legality, or availability of any listed product. • Merchants bear sole responsibility for the products they sell, including compliance with all applicable consumer protection laws, product safety standards, and labeling requirements in the Kingdom of Saudi Arabia. • KASSR reserves the right to remove, suspend, or modify any listing that violates our policies, applicable laws, or is the subject of user complaints, without prior notice to the Merchant. • The contract of sale is formed exclusively between the Buyer and the Merchant. KASSR is not a party to any sale transaction.

KASSR's proprietary negotiation feature allows Buyers to submit price offers to Merchants on eligible products. The following rules govern all negotiations: • Binding Offers: All negotiation offers submitted by Buyers are binding commitments. Once submitted, an offer cannot be withdrawn, edited, or canceled by the Buyer during the active negotiation window. • Merchant Discretion: Merchants may accept, reject, or submit a counter-offer at their sole and absolute discretion. KASSR does not intervene in pricing decisions. • Accepted Offers: An accepted offer constitutes a binding purchase agreement at the negotiated price. The Buyer must complete payment within the designated reservation window. • Time Limits: Each negotiation session has a defined expiration period. Offers that are not acted upon before expiry are automatically voided. • No Guarantee: KASSR does not guarantee that any negotiation will result in a price reduction or a successful transaction. • Fair Use: Abuse of the negotiation system — including submitting spam offers, engaging in bad-faith negotiations, or attempting to manipulate pricing — may result in immediate account suspension or permanent termination. • Negotiation History: All negotiation records are retained for transparency, dispute resolution, and quality assurance purposes.

All monetary transactions on the Platform are processed securely through our PCI DSS Level 1 certified payment processor, Stripe. By making a purchase, you agree to the following: • Currency: All prices on the Platform are displayed in Saudi Arabian Riyal (SAR). • VAT: Prices are inclusive of Value Added Tax (VAT) at the rate of 15% as mandated by the Zakat, Tax and Customs Authority (ZATCA), unless explicitly stated otherwise. • Total Price Disclosure: The final price presented at checkout includes all applicable fees (product price, service fees, delivery fees, and VAT). No additional charges will be added after checkout confirmation. • Payment Window: After an offer is accepted or a direct purchase is initiated, payment must be completed within the designated reservation window. Failure to complete payment within this window will result in automatic cancellation of the transaction. • Service & Delivery Fees: KASSR may charge a platform service fee and/or delivery fee, which will be transparently displayed and itemized before you confirm payment. • Sufficient Funds: You are solely responsible for ensuring that your payment method has sufficient funds to complete the transaction. • Fraud Prevention: Any fraudulent, unauthorized, or suspicious payment activity will be flagged, investigated, and reported to the relevant financial and legal authorities in the Kingdom of Saudi Arabia.

KASSR facilitates delivery services through its network of registered Delivery Captains. The following terms govern all deliveries: • Estimated Delivery Times: All delivery timeframes provided are estimates only and may vary based on location, traffic conditions, weather, merchant processing time, and other factors beyond KASSR's control. • Accurate Address: You are responsible for providing a complete and accurate delivery address. KASSR is not liable for delivery failures, delays, or additional costs resulting from incorrect, incomplete, or inaccessible address information. • Delivery Verification (OTP): For security purposes, a one-time verification code (OTP) will be sent to you upon dispatch. You must present this code to the Captain upon delivery to confirm receipt. KASSR is not responsible for orders delivered without OTP verification due to Buyer negligence. • Inspection Upon Delivery: You are encouraged to inspect products upon delivery. Any visible damage or discrepancies must be reported through the Platform within 24 hours of delivery. • Third-Party Shipping: For locations outside the standard delivery radius or for certain product categories, orders may be fulfilled through third-party courier services, subject to their own terms and delivery timelines. • Liability Limitation: KASSR is not liable for damage to products during delivery unless directly caused by the gross negligence or willful misconduct of a KASSR-registered Captain.

In accordance with Article 13 of the Kingdom of Saudi Arabia's E-Commerce Law, consumers have the right to cancel and return products under the following conditions: • Statutory Return Period: You have the right to return a product and receive a full refund within seven (7) calendar days from the date of receiving the product, provided the product is unused, in its original packaging, with all tags and accessories intact. • Exceptions to the Return Right: The following categories of products are exempt from the 7-day return right as permitted by law: — Products custom-made or personalized to the Buyer's specifications. — Perishable goods, food items, or products with a limited shelf life. — Digital content that has been downloaded or accessed. — Personal hygiene products that have been opened or used. — Products whose price is subject to financial market fluctuations. • Refund Process: To initiate a return, submit a request through the Platform. Approved refunds are processed within 5–14 business days after the returned product is received and inspected. • Refund Method: Refunds are credited to the original payment method used for the purchase. • Partial Refunds: KASSR may issue partial refunds for products returned in a condition that differs from the original state, subject to inspection. • Delivery Fee Refunds: Delivery fees are non-refundable unless the order was never delivered or the wrong product was delivered. • Complaints: If you are dissatisfied with the resolution of a return or refund request, you may file a complaint through the Ministry of Commerce's consumer protection portal.

The following activities and content are strictly prohibited on the KASSR Platform: • Listing, selling, or purchasing illegal, counterfeit, stolen, or prohibited goods under the laws of the Kingdom of Saudi Arabia. • Products that violate intellectual property rights, including counterfeit branded merchandise. • Weapons, ammunition, explosives, or any controlled substance. • Products that are misleadingly described, falsely advertised, or materially different from their listing. • Using the Platform for money laundering, terrorism financing, or any activity prohibited under Saudi anti-financial crime regulations. • Creating multiple accounts for the purpose of abusing promotions, circumventing restrictions, or engaging in fraudulent negotiations. • Harassing, threatening, or abusing other users, merchants, or captains through the Platform's messaging system. • Attempting to gain unauthorized access to other users' accounts, KASSR's systems, or any data not intended for you. Violation of these prohibitions may result in immediate account termination, forfeiture of pending transactions, and referral to the relevant legal authorities.

All content, trademarks, service marks, logos, trade names, designs, software, technology, and proprietary materials on the KASSR Platform are the exclusive intellectual property of KASSR or its licensors, protected by the laws of the Kingdom of Saudi Arabia and applicable international intellectual property treaties. • You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes only. • You may not reproduce, distribute, modify, create derivative works from, publicly display, reverse-engineer, or commercially exploit any content, feature, or technology on the Platform without prior written authorization from KASSR. • User-generated content (such as reviews or messages) remains the intellectual property of the user, but by posting it on KASSR, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute it in connection with Platform operations.

To the maximum extent permitted by the laws of the Kingdom of Saudi Arabia: • KASSR provides the Platform on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. • KASSR does not warrant uninterrupted, timely, secure, or error-free access to the Platform. • KASSR is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunity, arising from or related to your use of the Platform. • KASSR's total aggregate liability for all claims arising from or related to a specific transaction shall not exceed the total amount paid by you for that specific transaction. • KASSR is not a party to transactions between Buyers and Merchants, and is not responsible or liable for the acts, omissions, products, or services of any Merchant, Captain, or third-party service provider. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of the Kingdom of Saudi Arabia, including liability for gross negligence or willful misconduct.

You agree to indemnify, defend, and hold harmless KASSR, its officers, directors, employees, agents, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: • Your use of or access to the Platform. • Your violation of these Terms and Conditions. • Your violation of any applicable law, regulation, or the rights of any third party. • Any content you submit, post, or transmit through the Platform. • Any transaction between you and a Merchant or Captain. This indemnification obligation shall survive termination of your account and these Terms.

KASSR shall not be liable for any failure or delay in performance of its obligations under these Terms caused by circumstances beyond its reasonable control, including but not limited to: • Natural disasters, epidemics, pandemics, or public health emergencies. • Acts of war, terrorism, civil unrest, or government sanctions. • Internet or telecommunications infrastructure failures. • Power outages, cyberattacks, or system failures. • Government orders, regulatory changes, or embargoes. • Labor disputes, strikes, or supply chain disruptions. In such events, KASSR's obligations are suspended for the duration of the force majeure event, and KASSR will make commercially reasonable efforts to resume normal operations as soon as practicable.

KASSR reserves the right to suspend, restrict, or permanently terminate your account at any time, with or without prior notice, for reasons including but not limited to: • Violation of any provision of these Terms and Conditions. • Fraudulent, illegal, deceptive, or abusive activity or behavior. • Providing false, misleading, or outdated information during registration or at any time thereafter. • Repeated refund abuse, chargeback fraud, or bad-faith negotiations. • Activity that poses a security risk to the Platform, other users, or third parties. Upon termination: • Your right to access and use the Platform ceases immediately. • Any pending orders or transactions may be canceled at KASSR's discretion. • Outstanding payment obligations remain enforceable. • KASSR may retain certain data as required by law or for legitimate purposes as described in our Privacy Policy. You may terminate your account at any time by contacting support@kassr.com.

These Terms are governed by, and shall be construed and interpreted exclusively in accordance with, the laws of the Kingdom of Saudi Arabia, including the E-Commerce Law, the Commercial Court Law, and the Personal Data Protection Law. Any dispute, claim, or controversy arising from or related to these Terms or your use of the Platform shall be resolved through the following escalation process: 1. Internal Resolution: Submit your dispute to KASSR's support team at support@kassr.com. We will endeavor to resolve the matter within 15 business days. 2. Mediation: If the dispute is not resolved internally, either party may refer the matter to mediation through a mutually agreed-upon, qualified mediator in Riyadh. 3. Litigation: If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent commercial courts in Riyadh, Kingdom of Saudi Arabia. Nothing in these Terms shall limit, restrict, or waive any rights you may have under the Saudi Consumer Protection Law or E-Commerce Law.

KASSR reserves the right to modify, suspend, or discontinue any part of the Platform, including features, pricing structures, or service areas, at any time without prior notice. While we will make reasonable efforts to notify users of significant changes, we are not liable for any modification, suspension, or discontinuation of any service. KASSR may also introduce new features, products, or services that are subject to these Terms unless otherwise stated.
